Statute

The Statute is the fundamental charter of the CRC Foundation. Following the dictates of the law, the nature and purposes of the organization are defined in the Statute of the CRC Foundation, together with the methods and tools useful for pursuing them. The discipline for the correct management of the assets is also defined and the skills, professionalism and composition of the Bodies that are part of it are indicated.
In this regard, we inform you that, with a provision dated 19 December 2023, the Ministry of Economy and Finance (MEF) approved the statutory amendments deliberated by the General Council, in the session of 11 December 2023.

It should be recalled that the Statute already fully incorporated the content of the Memorandum of Understanding signed on 22 April 2015 with the MEF.

Alongside the Statute, the CRC Foundation has been making use, since 2014, of 5 Regulations, which define the detailed disciplines with reference to the Institutional Activities, the Management of the Assets, the Designations and Appointments in the Foundation, the Functioning of the Governance and the Appointments in the Participated Companies.

Regulations

With the Regulations, the CRC Foundation regulates, in detail, the Institutional Activity, the Management of the Assets, the Designations and Appointments in the Foundation, the Functioning of the Governance and the Appointments in the subsidiaries. The Regulations have been recently revised, following some changes made to the Statute of the CRC Foundation, approved by the Ministry of Economy and Finance with a provision of 19 December 2023, and for transparency available below:

Code of Ethics

The Code of Ethics is the charter of rights and duties of the CRC Foundation, which defines the ethical and social responsibilities of each participant in the organization's activities and provides the principles and rules of conduct of administrators, managers, collaborators, suppliers and beneficiary organizations.

This Code was last reviewed by the Board of Directors and the General Council, in the meetings held on 30 January 2017, mainly for the purpose of:

  • update its text, following the entry into force of the Charter of Foundations (adopted in 2012) and the Memorandum of Understanding of 22 April 2015 with the Ministry of Economy and Finance;   
  • review the composition and duration of the Supervisory Body, providing for the possibility of appointing external individuals with specific experience and skills;
  • provide for a more stringent sanctions system.

It is noted that no changes and/or additions to the text have subsequently occurred.

Organization, Management and Control Model and Whistleblowing Procedure

The Organization, Management and Control Model (MOGC) constitutes an important safeguard for the correct operation of the CRC Foundation.

Adopted in 2010 – in compliance with Legislative Decree 231/2001 on the liability of legal persons – it has been updated over time, in light of new regulatory and statutory changes.

With the entry into force of the new Code of Ethics, which occurred on 30 January 2017, it was necessary to make further updates to the Model, as a qualified verification and control tool.

Lastly, with the entry into force of Laws no. 28 of 2024 June 90 and no. 9 of 2024 August 114, with the consequent introduction of new predicate crimes, the CRC Foundation updated the aforementioned Model on 16 December 2024.
